Welcome to the Ryu Siwon USA Fan Club Website ("Site"). These terms and conditions of use ("Terms") constitute a legal agreement between you and Todd-Lee Productions, LLC (“Todd-Lee”), the owner and operator of the Site. Your use of this Site constitutes your acceptance of these Terms and any modified Terms. If you do not agree with the Terms, please do not use this Site.

Registration Obligations

In order to use this Site you must first register using our online registration form. The form will ask that you provide us with some or all of the following information: your name, postal address, telephone number, e-mail address and your birth date. By submitting a registration form, you affirm that the information you are providing about yourself is accurate, current and complete and that you will maintain and promptly update the information to ensure that the information remains true, accurate, current and complete.

If you provide any information that is untrue, inaccurate, not current or incomplete, or we have reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Todd-Lee may suspend or terminate your use of the Site and refuse any future attempt by you to register to use the Site. Children under 14 years of age cannot register to use any portion of this Site.

Member Account, Password and Security

You will receive a username and password upon completing the registration process. You are responsible for maintaining the confidentiality of your password and are fully responsible for all activities that occur under your username and password. You agree to (a) immediately notify Todd-Lee of any unauthorized use of your username or password or any other breach of security, and (b) ensure that you exit from the secured portion of our Site at the end of each session. You are responsible for logging out of our Site or closing your browser if your computer is accessible to others. This prevents unauthorized access. Todd-Lee will not be liable for any loss or damage arising from your failure to comply with this provision.

Ownership of This Website and Its Contents

This Site is owned and operated by Todd-Lee. All of the content featured or displayed on this Site, including, but not limited to, text, graphics, photographs images, moving images, sound, illustrations and software ("Content"), is owned or licensed by Todd-Lee, or is being used with permission of the third parties who own the content.

Most or all elements of the Site, including but not limited to, the general design and the Content, are protected by trade dress, copyright, moral rights, trademark and other laws relating to intellectual property rights. No portion or element of this Site or its Content may be copied or retransmitted via any means and all related rights shall remain the exclusive property of Todd-Lee, its licensors or fan club partners. You agree to indemnify Todd-Lee, its officers, members, agents, representatives, licensors, affiliates, and fan club partners against any losses, expenses, costs or damages incurred by any or all of them as a result of your breach of these Terms or your unauthorized use of the Content or Site.

Proprietary Names and Marks

"Ryu Siwon”, “Korean Prince”, “R’s Company”, “Todd-Lee”, “Todd-Lee Productions, LLC” and the USA Butterfly Logo are proprietary names or marks that belong to Ryu Siwon, R’s Company and/or Todd-Lee. Nothing contained on the Site should be construed as granting, by implication, estoppel or otherwise, any license or right to use any of these names or marks without the written permission of the owners of the names or marks. Any commercial use of these names and marks is strictly prohibited.

Use of the Site

This Site and its Content are intended for registered fan club users only. You may not use this Site or the Content for any commercial purpose or for any purpose that is inconsistent with supporting the Korean personality and celebrity Ryu Siwon. Any use of the Content, this Site or any of its functionality for a purpose not permitted by these Terms is grounds for the immediate revocation of any usernames, passwords or other permissions that may have been granted by Todd-Lee for your use of this Site.

Forums, Chat Rooms and Communication Tools

This Site contains communications tools and forums that allow you to chat with other registered users on the Site. When using these tools, you agree that you will not upload to, post, distribute through, or otherwise publish any content that is libelous, defamatory, obscene, pornographic, threatening, invasive of privacy or publicity rights, abusive, illegal, or otherwise objectionable; that would constitute or encourage a criminal offense; that contains viruses or other contaminating or destructive features; that infringes any copyright, trademark, patent, trade secret; or that otherwise violates the rights of any party or otherwise gives rise to liability or violates any law.

Our forums or chat rooms may only be used in a noncommercial manner. You shall not, without our express approval, distribute or otherwise publish any material containing any solicitation of funds, promotion, advertising, or solicitation for goods or services. You specifically acknowledge that soliciting other registered users to join or become members of any commercial online service or other organization is expressly prohibited.

In addition, you agree not to use the communication tools: (1) to attempt to gain unauthorized access to the communication tools, other accounts, computer systems, or networks, through password mining or any other means; (2) to collect information about others, including e-mail addresses, without their consent; (3) to create a false identity or forged telephone, or otherwise attempt to mislead others as to identity of the sender or the origin of the message; (4) to transmit any material that may infringe the intellectual property rights or rights of third parties, including trademark, copyright, or right of publicity; (5) to engage in any other activity that we reasonably believes could subject us or you to criminal liability or civil penalty or judgment. You agree to defend and indemnify Todd-Lee, its officers, members, agents, representative, fan club partners and affiliates from and against any loss or damage we or they may suffer as a result of your breach of this provision.

We retain the right, but we do not assume any obligation, to monitor your use of the Site’s forums and chat room. Violation of any of the rules of this provision shall be grounds for immediate revocation of your right to use this Site.

THIS SITE AND ITS CONTENT ARE PROVIDED "AS IS". TODD-LEE AND ITS OFFICERS, MEMBERS, AGENTS, EMPLOYEES, CONTENT PROVIDERS, LICENSORS, FAN CLUB PARTNERS AND AFFILIATES EXCLUDE, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY WARRANTY, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY OR FITNESS FOR A PARTICULAR PURPOSE. TODD-LEE WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM THE USE OR MISUSE OF THIS SITE, ITS CONTENT, OR THE UNAVAILABILITY OF THE SITE, INCLUDING, BUT NOT LIMITED TO, LOST PROFITS AND DIRECT, INDIRECT, INCIDENTAL, PUNITIVE AND CONSEQUENTIAL DAMAGES. Governing Law and Venue

This site is created and controlled by Todd-Lee from within the State of Hawaii, United States of America. If you access this site from a country other than the United States, you do so on your own initiative and are responsible for compliance with the laws of your country.

By registering to use this Site, you agree that your use of the Site and these Terms shall be interpreted, construed and governed by the laws of the State of Hawaii and the United States of America without reference to laws relating to conflicts of law and not including the provisions of the 1980 United Nations Convention on Contracts for the International Sale of Goods. You also agree that all disputes arising under these Terms or concerning your use of this Site must be brought exclusively in courts or other tribunals located in Honolulu, Hawaii, USA. Notwithstanding the foregoing, Todd-Lee shall have the right to commence and prosecute any legal or equitable action or proceeding before any court of competent jurisdiction in order to protect against the actual or threatened misappropriation of tangible or intangible property belonging to Todd-Lee, its licensors or fan club partners.

No Waiver, Severability, Amended Terms of Use

No action of Todd-Lee, other than an express written waiver or amendment, may be construed as a waiver or amendment of any of these Terms. If any clause in these Terms is found to be unenforceable, wherever possible, this will not affect any other clause and each will remain in full force and effect. Todd-Lee reserves the right to change these Terms and the Content displayed on this Site without prior notice. Your use of the Site with modified Terms and Content signifies your agreement to the modified Terms.
